"The objective of this paper is to generate discussion regarding proposals to amend the insider trading provisions of the Canada Business Corporations Act (CBCA), including the option to repeal some or all of these provisions. Generally, "insiders" are those people who have access to confidential information of a corporation. Without regulation of improper insider trading (trading while in possession of material confidential information), insiders could take advantage of outside investors. The paper analyzes whether the CBCA's insider trading provisions are still needed and, if they are still needed, what changes should be made to modernize them"--Executive summary.
